AVIVO Group, after receiving all the mandated approvals, has purchased a majority stake in Kalium Group.

AVIVO Group said the transaction, completed last month, expands its health care facilities to 43
in eight major cities in the MENA region.

“We are delighted to announce the successful completion of
the deal by adding Kalium Group to our portfolio,” Shailesh Dash, chairman
of AVIVO Group said. “This takes us another step forward with the implementation of
our growth strategy in the rapidly growing regional healthcare sector while
bringing AVIVO Group closer to its impending IPO plan.”

Kalium Group has a positive reputation in the field of
medical aesthetics with a regional distribution company, clinics and
educational facilities. The group operates four medical aesthetic clinics
in Dubai under the Aesthetica & Dermalase brand and allocates USFDA approved
and/or CE marked advanced medical equipment, aesthetic devices and skin care products
from widely recognized international brands under Kalium Drug Store, Kalium Co.
for Scientific Equipment & Cosmetic Products and Kalium s.a.l.

The group also operates the Institute of Medical Aesthetics and American Academy of Anti-Aging Medicine Dubai. Both facilities are
dedicated to the professional growth and continuing education of medical doctors
and health care practitioners in the medical aesthetics and molecular science
sectors.

“This is a very unique transaction for AVIVO Group as Kalium, through its aesthetic clinics, has been attracting patients from all over the
region as it offers the most advanced and latest skincare solutions coupled
with state-of-the-art medical aesthetics technology,” Amitava Ghosal, a
board member and CEO of AVIVO Group, said. “With this deal, AVIVO today has its
footprint across the GCC Countries. We believe we can further expand the scope
of Kalium Group while increasing our contribution to the medical tourism
initiatives being undertaken by Dubai Healthcare City and Government of Dubai.”

As a leading player in regional medical aesthetics, we are
pleased to welcome AVIVO Group and look forward to their contribution to
Kalium, Nazih Khattar, managing director of Kalium Group, said.
